By accessing or using Quixess' website or any other services provided by Quixess (collectively referred to as "Services"), you agree to comply with and be bound by these Terms of Service ("Terms"). Quixess connects users to a network of suppliers and manufacturers to help them acquire the goods necessary to meet their business needs.

Where applicable, we indicate whether and why you must provide us with your Personal Information and the consequences of failing if you do not provide the personal information as required. In that case, you may not be able to benefit from our services if that information is necessary for the service you need or if we are legally required to collect it.

3. Eligibility

You must be at least 18 years old to use Quixess' Services. By agreeing to these Terms, you represent that you are at least 18 years of age and are fully capable of entering into these Terms.

4. User Accounts and Responsibilities

To access certain features of Quixess, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

• Account Creation: You agree to provide accurate, current, and complete information during the registration process and update it to keep it exact.
• Account Security: You agree to notify Quixess immediately of any unauthorized use or breach of your account.

You are solely responsible for all activities under your account, and Quixess is not responsible for any loss or damage arising from your failure to comply with this obligation.

5. Inventory Sourcing

Quixess is an intermediary between buyers (users) and suppliers or manufacturers. Users can use our platform to browse available inventory, review details, and purchase goods directly from these suppliers.

• Inventory Listings: The inventory offered through Quixess is provided by third-party suppliers or manufacturers. We do not guarantee the quality, accuracy, availability, or pricing of inventory listed on our platform
• Orders and Purchases: Once you place an order through Quixess, the purchase agreement is between you and the third-party supplier. We will process and facilitate the transaction but do not assume liability for the product or service you purchase.
• Inventory Availability: Inventory availability may fluctuate. We are not responsible for any discrepancies in availability or changes to inventory before you finalize your order.
• Inventory Listings: The inventory offered through Quixess is provided by third-party suppliers or manufacturers. We do not guarantee the quality, accuracy, availability, or pricing of inventory listed on our platform

6. Shipping and Delivery

• Shipping

The third-party supplier handles shipping and delivery of purchased inventory. Quixess provides tracking information where available but does not control shipping times or delivery issues.

• Delivery Times

The supplier provides estimated delivery times, which are subject to change. Quixess is not responsible for delays caused by the supplier or delivery service.

7. Returns and Refunds

• Return Policy

Quixess does not manage returns. All returns, exchanges, or issues with purchased inventory must be handled directly with the third-party supplier.

• Refunds

Refund policies are set by the third-party supplier. Quixess will facilitate communication between you and the supplier but is not responsible for refunds or disputes regarding inventory quality or service.

8. User Conduct

You agree to use Quixess' Services only for lawful purposes and by the following:

• You will not engage in any activity that interferes with or disrupts the functioning of Quixess or its Services.
• You will not use the Services to distribute harmful content, including viruses, malware, or any other code designed to disrupt, damage, or limit the functionality of any system.
• You will comply with all applicable local, state, and international laws when using Quixess.

9. Intellectual Property

• Quixess Content: All content on the Quixess platform, including text, graphics, logos, and software, is the property of Quixess and is protected by intellectual property laws.
• User Content: By submitting content to Quixess (e.g., reviews, feedback, or product images), you grant Quixess a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content in connection with our Services.

10. Disclaimers and Limitation of Liability

• No Warranty: Quixess provides its Services "as is" without any warranty or representation. We do not guarantee the availability, accuracy, or completeness of the information or inventory supplied by third-party suppliers.
• Limitation of Liability: To the fullest extent permitted by law, Quixess is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Services or your interaction with third-party suppliers.

11. Indemnification

You agree to indemnify and hold harmless Quixess, its affiliates, and its employees from any claims, losses, or damages (including legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Modifications to Terms

Quixess reserves the right to modify these Terms at any time. Any changes will be effective when posted on the Quixess platform, and your continued use of the Services constitutes your acceptance of the updated Terms.

13. Termination

Quixess may suspend or terminate your access to the Services at any time, with or without cause and without prior notice, if we believe you have violated these Terms or if we cease offering the Services.
